Terms of Service
These terms govern the StratEQ website, StratEQ Reporting and StratEQ Equa. An accepted quotation, order or subscription confirmation adds the applicable product, licence and commercial terms.
Agreement and authority
By using the website or a StratEQ product, you agree to these terms and the policies linked from them. If you act for an organisation, you confirm that you are authorised to bind it and manage its users. If there is a conflict, an accepted order or signed agreement takes priority for the subject it covers, followed by these terms and then website information.
The products
StratEQ Reporting provides management-reporting workflows, including financial-data import, classification, analysis, management accounts and reporting. StratEQ Equa provides accounting and audit engagement workflows, including requests, evidence, working-paper sections, review and sign-off. Features available to a customer may depend on the selected plan, configuration, data, role and product release.
Supplier and order information
The supplier is STRATEQ (PTY) LTD, a South African private company with registration number 2026/263159/07. The applicable quotation, order or subscription confirmation identifies the customer, product, licence level, permitted modules, authorised users or entities, subscription period, price, taxes if applicable, payment method, activation arrangements, renewal terms and material limits. The public website does not currently take payment or conclude a self-service purchase. Do not make payment unless the amount, supplier bank details and applicable terms have been confirmed in writing.
Accounts and authorised users
Access is limited to authorised users. You must provide accurate account information, protect credentials, use reasonable security controls and promptly report suspected compromise or unauthorised access. Accounts may not be shared between individuals. The customer is responsible for assigning appropriate roles, removing access when it is no longer needed and activity performed through its accounts, except to the extent caused by StratEQ's breach.
Licences, access and payment
Fees, currency, billing interval and payment dates are stated in the accepted order before payment. Unless an order says otherwise, licence access begins when StratEQ sends the activation invitation and continues for the purchased period. Access is limited to the product, modules, users, entities and roles stated in the order or assigned by an authorised customer administrator. StratEQ does not offer a free production trial. Recurring billing or automatic renewal applies only where expressly disclosed and authorised. Overdue amounts may result in notice, restricted access or suspension. Cancellation and refund requests are handled under the Refunds and cancellation policy.
Activation invitations
StratEQ sends activation instructions to the authorised email address supplied by the customer. The invitation may be time limited and may be used only by the intended recipient. The recipient must verify the email address, complete the required account-security steps and keep access credentials confidential. Delivery of the activation email and successful activation are recorded for account administration and support.
Demonstration access
A demonstration account allows a prospective customer to evaluate selected workflows using fictional information. It is not a free trial, production subscription or promise that every module is included in a later order. Demo access may be read-only, time limited, shared for presentation purposes and reset without notice. Do not upload real personal, financial, client or confidential information to a demonstration account.
Customer data
You retain your rights in data submitted to the products and grant StratEQ the limited right to host, process, transmit, back up and display it as necessary to provide, secure and support the service. You confirm that you have authority and a lawful basis to submit the data, invite users and instruct StratEQ to process it. You are responsible for the accuracy of source data, classifications, mappings, instructions and approvals. Privacy and operator responsibilities are described in the Privacy Policy and any applicable data-processing terms.
Confidentiality
Each party must protect non-public business, technical, financial and client information received from the other, use it only for the service or agreed purpose, and disclose it only to people who need it and are bound to protect it. This does not cover information that is public without breach, already lawfully known, independently developed, lawfully received from another source, or required to be disclosed by law.
Acceptable use
You may not use StratEQ unlawfully; gain or attempt unauthorised access; probe or defeat security or tenant boundaries; upload malicious code; interfere with availability; copy, reverse engineer or resell the service except where law expressly permits; submit data without authority; misrepresent output; or use the products to infringe privacy, confidentiality, intellectual-property or other rights. Reasonable automated use must be authorised and must not degrade the service.
Financial information and professional judgement
StratEQ organises customer-supplied information and supports analysis and workflow. Output depends on the completeness, accuracy, period basis, mapping, configuration and judgement applied by authorised users. The products do not perform an audit, guarantee compliance or outcomes, and do not replace accounting, audit, tax, legal, investment or other professional advice. Users remain responsible for reviewing source data, resolving exceptions and approving reports before relying on or distributing them.
Intellectual property
StratEQ and its licensors retain all rights in the software, website, brand, designs, documentation, methods and improvements. Subject to payment and these terms, the customer receives a limited, non-exclusive, non-transferable right for authorised users to use the purchased product for the customer's internal business purposes during the subscription. No ownership in the software is transferred.
Availability, support and changes
We use reasonable efforts to keep the products available and secure, but maintenance, updates, provider failures, security events and circumstances outside reasonable control may interrupt access. Support channels and service commitments are those stated in the applicable plan or order. We may improve or change features, provided we do not materially remove the core purpose of a paid product during the current period without an appropriate remedy.
Suspension and termination
We may suspend access where reasonably necessary to address a security threat, unlawful use, material breach, non-payment or risk to other customers, and will give notice where reasonably possible. Either party may terminate as permitted by the order or applicable law. When access ends, licence rights end and outstanding amounts remain payable. Customers should export required records before termination. Data is retained or deleted under the Privacy Policy, the applicable agreement and legal obligations.
Third-party services
The products may rely on or link to independent services such as hosting, authentication, email and storage. Their own terms may apply to direct use. StratEQ is not responsible for third-party products outside its reasonable control, but remains responsible for its obligations regarding operators and customer information.
Warranties and liability
StratEQ will provide paid services with reasonable care and skill. Except for express commitments and rights that cannot lawfully be excluded, the website and products are provided without implied guarantees of uninterrupted operation, fitness for an undisclosed purpose or error-free output. To the extent permitted by law, neither party is liable for indirect or consequential loss, loss of profit, revenue, goodwill or anticipated savings. StratEQ's aggregate liability arising from a paid service will not exceed the fees paid for that service during the 12 months preceding the event giving rise to the claim, except where a limitation is prohibited by law or the loss results from fraud, wilful misconduct or a liability that cannot lawfully be limited.
Consumer rights
Nothing in these terms removes a right or remedy that cannot lawfully be excluded under the Consumer Protection Act, the Electronic Communications and Transactions Act or other applicable law. If a provision is inconsistent with a mandatory right, it applies only to the maximum extent legally permitted.
Governing law and disputes
South African law governs these terms. Before starting formal proceedings, the parties should send written details of the dispute and allow a reasonable opportunity to resolve it in good faith. Either party may seek urgent relief where necessary to protect data, confidentiality, intellectual property or security. A consumer may also use any regulator or forum available under applicable law.
Changes and contact
We may update these terms for legal, security or product reasons. Material changes affecting a current paid subscription will be communicated where required and will not apply retrospectively where law prohibits it. Questions can be sent to info@strateq.co.za.
